Terms of Service

1. Acceptance of Terms

By accessing or using Secure Access Pass, a product of DRSUSS Holdings LLC (“the Service,” “SAP,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to all terms, you may not use the Service. These terms apply to all users of the platform, including property managers, pool guards, and residents.

2. Description of Service

Secure Access Pass is a pool access management platform operated by DRSUSS Holdings LLC, designed for residential apartment communities and property managers. The Service provides QR-code-based access control, real-time occupancy tracking, visitor pass management, access rule enforcement, and related features to help property managers manage pool and amenity access efficiently.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where required by law.

3. User Accounts and Responsibilities

To use certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials and access PINs
  • All activity that occurs under your account
  • Ensuring that information you provide is accurate and up to date
  • Promptly notifying us of any unauthorized use of your account
  • Complying with all applicable laws when using the Service

Property managers are responsible for ensuring that resident data entered into the platform is accurate and obtained with appropriate consent under applicable privacy laws.

4. Payment Terms

The Service offers subscription plans for property managers. Visitor passes may be sold to residents and their guests through the platform. Payment processing is handled by Stripe, Inc. By making a payment through the Service, you agree to Stripe's terms of service and privacy policy in addition to these terms.

Platform fees are deducted from visitor pass sales as disclosed at the time of Stripe Connect onboarding. All fees are non-refundable unless otherwise required by law or agreed to in writing.

5. Intellectual Property

The Service, including its original content, features, functionality, software, design, trademarks, and branding, is and shall remain the exclusive property of DRSUSS Holdings LLC. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or harvest any data from the Service without express permission
  • Impersonate any person or entity, or falsify your affiliation with any person or entity
  • Upload malicious code, viruses, or any software designed to disrupt or damage

7. Data Handling

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process personal information including names, email addresses, phone numbers, unit numbers, profile photos, and access logs. 8. Limitation of Liability

To the maximum extent permitted by applicable law, DRSUSS Holdings LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless DRSUSS Holdings LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your account and access to the Service at our discretion, with or without notice, if we believe you have violated these Terms or if required by law. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

Sections relating to intellectual property, indemnification, governing law, limitation of liability, data handling, and dispute resolution survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in the Commonwealth of Pennsylvania, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Changes to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you via email or in-app notification. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
